These Terms of Service (hereinafter the « Terms ») govern all contractual relations between Innovation Data, a single-shareholder simplified joint-stock company with capital of €1,000, SIREN 100895051, RCS Dunkerque, operating the VOKAL trademark (hereinafter « Vokal »), and any individual or entity subscribing to a Vokal services plan (hereinafter the « Customer »).

1. Purpose

These Terms define the conditions under which Vokal provides the Customer with its services for voice recording of sales meetings and automatic generation of PDF quotes via artificial intelligence.

The services are accessible via a web application and, for plans including hardware, via the Plaud Note Pro recorder provided as part of the subscription.

2. Acceptance of Terms

Subscribing to a Vokal plan implies the Customer's full and unconditional acceptance of these Terms. Vokal reserves the right to modify the Terms at any time, by notifying the Customer by email at least 30 days before the changes take effect.

In case of disagreement, the Customer may terminate their subscription under the conditions set out in article 8.

3. Description of services

Vokal offers three subscription plans:

• Vokal Mobile: web and mobile app for iPhone, no hardware included, starting at €49/month ex. VAT. • Vokal Pro: web and mobile app + Plaud Note Pro hardware included, starting at €149/month ex. VAT. • Vokal Healthcare: Vokal Pro + HDS-certified hosting for healthcare professionals, starting at €249/month ex. VAT.

The specific features of each plan are described on the Pricing page of the website and may evolve over time.

4. Pricing and billing

Prices are listed in euros excluding VAT (ex. VAT) on the vokal.fr website. The applicable French VAT rate (20% at the time of writing) will be added at billing.

The Pro and Healthcare plans include one-time setup fees, billed at subscription, covering the delivery of the Plaud Note Pro and initial onboarding.

Payment is monthly or annual, by credit card or SEPA direct debit. A 10% discount applies for annual billing.

An electronic invoice is issued at each billing cycle and sent to the Customer by email.

5. 30-day money-back guarantee

The Customer benefits from a 30-day money-back guarantee starting from subscription. During this period, if the Customer is not satisfied with the service, they may request a full refund of their first monthly fee as well as any setup fees.

To exercise this guarantee, the Customer must email contact@vokal.fr stating their account number. For Pro and Healthcare plans, the Plaud Note Pro must be returned in good condition in its original packaging, to the address provided by Vokal. Return shipping is at the Customer's expense.

6. Plaud Note Pro (Pro and Healthcare plans)

The Plaud Note Pro is provided on loan as part of the subscription. It remains the property of Innovation Data while the subscription is active.

The hardware comes with a 2-year manufacturer warranty against defects. Vokal provides standard exchange within 5 business days for any covered breakdown.

In case of accidental damage, loss, or theft, a replacement is offered at cost (approximately €90 ex. VAT). An accidental damage protection plan is available at €4/month.

Upon termination, the Customer agrees to return the Plaud Note Pro within 14 days at their own expense. Failing this, an invoice of €200 ex. VAT will be issued.

7. Duration and renewal

The subscription is concluded with no fixed term, for a minimum duration of one month. It is tacitly renewed at each billing cycle (monthly or annual), unless terminated by either party under the conditions set out in article 8.

8. Termination

The Customer may terminate their subscription at any time, from their account dashboard or by email to contact@vokal.fr. Termination takes effect at the end of a one-month notice period from the notification.

Vokal reserves the right to terminate the subscription with immediate effect in case of serious breach of contractual obligations by the Customer, particularly in case of payment default, fraudulent use of the service, or violation of third-party rights.

9. Personal data and confidentiality

The processing of the Customer's personal data is governed by our Privacy Policy, accessible from the website footer.

Audio recordings and generated quotes are encrypted end-to-end and hosted in France. For the Vokal Healthcare plan, the infrastructure is HDS certified (Healthcare Data Hosting).

10. Limitation of liability

Vokal undertakes to provide the service with diligence but cannot guarantee 100% availability. In case of prolonged unavailability of the service (more than 24 consecutive hours), the Customer may request a pro-rata credit.

Vokal's liability shall not exceed, in any case, the amount paid by the Customer over the three months preceding the event giving rise to the damage.

11. Applicable law and mediation

These Terms are subject to French law. Any dispute relating to their interpretation or execution shall be submitted to the exclusive jurisdiction of the courts in the Dunkerque district, subject to mandatory provisions applicable to consumers.

In accordance with article L. 612-1 of the French Consumer Code, the Customer may use the free mediation service MEDICYS, whose contact details are: medicys.fr.
